Consult 500 Terms of Service
Last Updated: 1 March 20261. Agreement and Acceptance: These Terms of Service ("Terms") constitute a legally binding agreement between Consult 500 and the client.These Terms are deemed accepted upon:- written confirmation of a quotation
- instruction to proceed with work
- acceptance of a quotation
- or payment of an invoice2. Services: Consult 500 provides consulting services as agreed with the client. The scope, deliverables, timelines, and fees will be set out in a quotation, proposal, or written communication.
Any work outside of the agreed scope will be discussed with the client and may be billed separately.3. Fees and Payment:- Fees are as specified in the quotation or invoice.
- Payment terms will be specified in the applicable quotation or invoice. Where not specified, payment is due within 30 days of the invoice date.
- Consult 500 may apply different payment terms based on the value and nature of the engagement.
- Alternative payment terms may be agreed where required by the client’s internal payment processes.
- Consult 500 reserves the right to charge interest on overdue amounts at a reasonable rate in accordance with applicable South African law.
- The client is responsible for all reasonable costs incurred in recovering overdue payments.4. Scheduling and Availability: Work will be scheduled and prioritised in consultation with the client. Consult 500 does not guarantee immediate availability unless expressly agreed.5. Confidentiality: Both parties agree to treat all confidential information as private and to use it only for the purposes of the engagement, unless disclosure is required by law or agreed in writing.6. Intellectual Property: Upon full payment, the client is granted the right to use the deliverables for their intended purpose.Consult 500 retains ownership of all underlying methodologies, frameworks, tools, and pre-existing intellectual property used in the course of providing services.7. Reliance on Advice: All advice, recommendations, and deliverables are provided based on the information available at the time.
Consult 500 does not guarantee specific outcomes. The client remains responsible for decisions, implementation, and any resulting outcomes.8. Limitation of Liability:To the fullest extent permitted by law:
- Consult 500 shall not be liable for any indirect, incidental, or consequential damages
- Total liability shall be limited to the fees paid by the client for the specific engagement giving rise to the claim9. Termination: Either party may terminate the engagement with written notice.
The client remains liable for all work completed up to the date of termination.10. Force Majeure: Consult 500 shall not be liable for any delay or failure to perform due to circumstances beyond reasonable control.11. Data Protection: Consult 500 processes personal information in accordance with its Privacy Policy and applicable South African data protection laws, including the Protection of Personal Information Act (POPIA).12. Governing Law: These Terms are governed by the laws of the Republic of South Africa.13. Amendments: These Terms may be updated from time to time.
